Rental Agreement

1. Term

This Agreement shall commence on the date the products (“Product(s)”) are delivered to the Customer and remain in full force and effect until the fixed period expires and the Products are returned to Vilson Industries, unless terminated earlier or extended pursuant to the flexi tenure policy.

2. Flexi Tenure Policy

Vilson Industries provides its Customers an option for flexible tenure (“Flexi Tenure”) for early closure and/or extension of the term. In case of early closure, the Customer can request closure by informing Vilson Industries. Early closure charges apply based on tenure and security deposit, excluding any rental dues and damage charges. Delivery charges shall also apply.

3. Payment

The invoice shall be raised on the 1st of each month, due by the 10th. Late payments incur a 10% late fee applied from the 11th. Payments should be made directly to Vilson Industries only.

4. Security Deposit

The refundable security deposit will be returned within 24-48 working hours after product inspection. Deductions may apply for damages or unpaid rental dues.

5. Order Confirmation

Orders are confirmed after payment and KYC verification. Vilson Industries reserves the right to reject orders due to serviceability issues or verification failure.

6. Delivery

Products will be delivered to the specified location. Customers must ensure availability or authorize a representative. Extra delivery charges apply for failed attempts.

7. Damage

Customers are liable for any product damage, theft, or loss. Minor wear and tear is acceptable, but major damage or unauthorized repairs will result in penalties.

8. Damage Waiver

Customers completing specific rental terms are eligible for a damage waiver benefit based on tenure.

9. Maintenance

Vilson Industries provides one-time cleaning per year after 12 months of tenure. Maintenance does not cover damages due to mishandling.

10. Inspection

Vilson Industries reserves the right to inspect rented products with prior notice.

11. Relocation

Relocation requires a request 2 weeks in advance and verification of the new address. Charges apply for relocation within 12 months.

12. Swap Option

Customers may swap products after 18 months for equal or higher value items, subject to availability.

13. Termination

Non-payment or contract breaches may result in immediate termination and product repossession. Customers must pay any pending amounts before the security deposit is refunded.

14. Ownership of Products

Vilson Industries retains ownership of all rented products at all times.

15. Assignment

Customers cannot transfer this Agreement without written consent. Vilson Industries may assign this Agreement to third parties.

16. Advance Rental

Advance rental payments are non-refundable but can be used for future subscriptions.

17. Indemnification

Customers indemnify Vilson Industries against any claims related to product use except due to negligence by Vilson Industries.

18. Governing Law

This Agreement shall be governed by the laws of India and subject to the exclusive jurisdiction of courts in Maharashtra.

19. Entire Agreement

This Agreement constitutes the entire agreement. Any amendments will be published on the Vilson Industries website.

20. Limitation of Liability

Vilson Industries shall not be liable for indirect or consequential damages. Total liability is limited to one month’s rental payment.
